1. The engagement
VEAN L.L.C-FZ ("VEAN", "the Agency") of The Meydan Hotel, Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, UAE, will provide the marketing, practice management, digital, social and/or IP services described in your accepted proposal or bespoke package ("the Services"). The scope of each engagement is only as agreed in writing.
2. Term
Retainer engagements run for an initial term of three (3) months unless otherwise agreed, then renew month to month. After the initial term, either party may terminate on thirty (30) days' written notice.
3. Fees & billing
Fees are invoiced monthly in advance in AED via the client portal, payable within fourteen (14) days. Third-party costs (media spend, print, hosting, licences, registration fees) are payable by the Client. Overdue amounts may attract 1% per month, and Services may be suspended after seven (7) days' notice of non-payment. Fees are reviewed at renewal, never increased mid-term without agreement.
4. Client obligations
You will provide timely access to information, approvals and systems reasonably required. You remain responsible for all clinical care, clinical decisions and the regulatory licensing of your practice.
5. Confidentiality & data
Both parties keep each other's confidential information confidential during the engagement and for five (5) years after. Personal data — including patient contact data handled in practice management — is processed in accordance with UAE Federal Decree-Law No. 45 of 2021 (PDPL), on your documented instructions, by personnel bound by confidentiality.
6. Intellectual property
On payment in full, ownership of final deliverables passes to you. The Agency retains its pre-existing tools, templates and know-how, licensed to you as embedded in the deliverables.
7. Performance
The Agency performs the Services with reasonable skill and care but does not guarantee any particular volume of enquiries, patients, revenue or engagement.
8. Liability
The Agency's total liability is limited to the fees paid in the three (3) months preceding the claim. Neither party is liable for indirect or consequential loss. Clinical matters remain solely your responsibility.
9. Termination
Either party may terminate immediately for unremedied material breach (14 days' notice) or insolvency. On termination you pay for services performed and costs committed to date.
10. Governing law
This agreement is governed by the laws of the Emirate of Dubai and the applicable federal laws of the UAE; the courts of Dubai have exclusive jurisdiction.
